User Content:

MohBuy may allow users to post, upload, publish or otherwise transmit content, including but not limited to text, photographs and videos (collectively, "User Content"). You retain all rights in, and are solely responsible for, the User Content you make available through the MohBuy platform. By making any User Content available through the MohBuy platform, you grant to MohBuy a non-exclusive, transferable, sub-licensable, royalty-free, worldwide license to use, copy, modify, create derivative works based on, distribute, publicly display, publicly perform, and otherwise exploit such User Content in connection with the MohBuy platform and MohBuy's (and its successors' and affiliates') business, including without limitation for promoting and redistributing part or all of the MohBuy platform (and derivative works thereof) in any media formats and through any media channels.

Proprietary Rights:

The MohBuy website, platform, services, and all materials therein or transferred thereby, including, without limitation, software, images, text, graphics, logos, patents, trademarks, service marks, copyrights, photographs, audio, videos, music, and User Content (the "Materials"), and all intellectual property rights related thereto, are the exclusive property of MohBuy and its licensors. Except as explicitly provided herein, nothing in these Terms shall be deemed to create a license in or under any such intellectual property rights, and you agree not to sell, license, rent, modify, distribute, copy, reproduce, transmit, publicly display, publicly perform, publish, adapt, edit or create derivative works from any Materials or User Content.

User Conduct. You agree not to use the MohBuy platform to:

• Upload, post, email, transmit or otherwise make available any User Content that is unlawful, harmful, threatening, abusive, harassing, tortious, defamatory, vulgar, obscene, libelous, invasive of another's privacy, hateful, or racially, ethnically or otherwise objectionable;
• Infringe any patent, trademark, trade secret, copyright or other proprietary rights of any party;
• Harm minors in any way;
• Impersonate any person or entity, or falsely state or otherwise misrepresent your affiliation with a person or entity;
• Upload, post, email, transmit or otherwise make available any User Content that you do not have a right to make available under any law or under contractual or fiduciary relationships;
• Upload, post, email, transmit or otherwise make available any User Content that contains software viruses or any other computer code, files or programs designed to interrupt, destroy or limit the functionality of any computer software or hardware or telecommunications equipment;

Disputes:

Any disputes between you, customers and MohBuy will be resolved through binding arbitration in accordance with the Commercial Arbitration Rules of the American Arbitration Association.

Changes to Terms and Conditions:

MohBuy reserves the right to make changes to these Terms and Conditions at any time without prior notice. Your continued use of MohBuy after any changes are made will constitute your acceptance of the new Terms and Conditions.

Termination:

MohBuy reserves the right to terminate your use of the platform and services at any time, for any reason, and without prior notice.

Governing Law:

These Terms and Conditions will be governed by and construed in accordance with the laws of Nigeria, without giving effect to any principles of conflicts of law.
